Mutually agree to enter into the lease contract concerning the house N0 PURPOSE OF POSITIVE USE: Rented area : ……………..... square meters Purpose of rent : Representative office and lodgment. (VND four million/month) This rental does not include fees of use of electricity, water, telephone, sanitary use, building administration, business tax, rent tax (such fees shall be born Party B upon payment invoices).   2. - In cash (VND) - Periodical payment : ……………..... months once carried out on the 15 day of early term of Gregorian calendar. th - Deposit : ……………..... ( writing) This amount shall be reimbursed by Party A upon liquidation of contract. If Party B unilaterally terminates the contract prior to expiry date, it should lose the deposit amount. On the contrary if Party A unilaterally terminates the contract prior to expiry day it should reimburse Party B the deposit amount and at the same time compensate to Party B an amount equal to the deposit amount. This amount will be reimbursed by party A at liquidation date of contract. - Two Parties mutually affirm respective responsibility as follow: A – LESSOR PARTY’S RESPONSIBILITY: 1. - Handing over the house with equipments and appliances and facilities to the lessee Party on the date of effectiveness of contract; 2. - Assuring full right of using the house to Lessee Party. 3. - Repairing at time aux damage occurred by act of God; 4. - Instructing Lessee Party to carry out strictly construction regulation of Vietnam. 5. - In case termination of the contract prior to expiry date, to advise Lessee Party 03 months in advance. B – LESSEE PARTY’S RESPONSIBILITY: 1. - Paying rental on time determined. 2. - Using house right upon purpose. Any reparation, improvement upon own requirement should be agreed by Lessor Party and meet construction regulations of Vietnam. 3. - Being responsible for damages, loss of interior decoration articles occurred to Party A during using house – Self maintaining personal, individual article. 4. - Carrying out regulation of environmental hygiene and common order, security in residential area. 5. - Prohibited of transfer of contract or re-renting to third party. In case termination of contract prior to expiry date, to advise house owner 03 months in advance. If wishing to continue to rent, to advise house owner 01 month (one) in advance. TWO PARTIES UNDERTAKE:
  3. 1. - Implementing strictly the contract being signed in case of any dispute or either Party breaching the contract, two parties will request a Tribunal for settlement. 2. - Termination of house lease contract could be carried out in following circumstances: - The contract is at the expiring date. - Lessee Party is expelled or has its business license in Vietnam revoked. - Upon proposal of one Party which is accepted by the other Party or upon legal regulation. This contract is made in 04 pages; include 02 pages in Vietnamese and 02 pages in English language, Each Party holding 01 page in Vietnamese and 01 page in English.
